Agreement to terms

These Terms of Service (“Terms”) form a legally binding agreement between you and AlertEagle, Inc. (“AlertEagle”, “we”, “us”, or “our”). If you are using our services on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.

Acceptance of Terms

By creating an account, clicking “I agree,” or otherwise accessing or using AlertEagle (the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

These Terms apply to all visitors, users, and others who access the Service (“Users”). Additional terms may apply to specific features or offerings and will be presented to you at the time you use them.

Description of Service

AlertEagle provides an enterprise emergency notification platform that enables organizations to send mass alerts and notifications across multiple communication channels including email, SMS, voice calls, push notifications, and third-party integrations.

Platform — web dashboard and APIs for creating, scheduling, and sending emergency notifications.

Channels — multi-channel delivery including SMS, email, voice, push, and webhook integrations.

Analytics — delivery reports, read receipts, and response tracking.

Support — access to documentation, help centre, and customer support based on your subscription tier.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will endeavour to provide reasonable notice of material changes.

User Accounts

To access most features of the Service you must create an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain and promptly update your account information.
Keep your password secure and not share it with third parties.
Notify us immediately at security@alerteagle.io of any unauthorised use of your account.
Accept responsibility for all activities that occur under your account.

We reserve the right to disable any account at our sole discretion if we believe you have violated these Terms or if your account is engaged in suspicious activity.

Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Spam or unsolicited messages

Send notifications to recipients who have not consented to receive them.

Harmful content

Transmit content that is unlawful, harassing, defamatory, or otherwise objectionable.

Misrepresentation

Impersonate any person or entity or falsely state your affiliation.

Service interference

Attempt to probe, scan, or test vulnerabilities, or circumvent security measures.

Automated abuse

Use bots or scripts to access the Service in a manner that imposes an unreasonable load.

Resale without authorisation

Resell, sublicence, or otherwise transfer your access rights without our prior written consent.

Violation of this section may result in immediate suspension or termination of your account and, where applicable, referral to law-enforcement authorities.

Subscription & Billing

Access to certain features requires a paid subscription. By subscribing you agree to the following billing terms:

Billing cycle — subscriptions are billed monthly or annually in advance, depending on your chosen plan.

Auto-renewal — subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.

Price changes — we will give at least 30 days' notice of any price increase. Continued use after the effective date constitutes acceptance.

Refunds — payments are non-refundable except as required by applicable law or as expressly stated in our refund policy.

Taxes — you are responsible for all applicable taxes. We will add VAT/GST where required by law.

Cancellation

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period and you will retain access until that date.

Intellectual Property

The Service and all content, features, and functionality — including but not limited to software, text, graphics, logos, and the design of the platform — are owned by AlertEagle, Inc. or its licensors and are protected by copyright, trademark, and other intellectual-property laws.

Your content

You retain ownership of all content you upload or transmit through the Service (“User Content”). By using the Service you grant us a limited, non-exclusive, royalty-free licence to process and transmit your User Content solely as necessary to provide the Service.

Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You consent to the collection and use of your information as described therein.

You are responsible for ensuring that any personal data you submit through the Service (such as recipient phone numbers or email addresses) is collected and transmitted in compliance with applicable data-protection laws, including obtaining valid consent from recipients where required.

Disclaimers & Warranties

No warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

AlertEagle does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Delivery of notifications depends on third-party carriers and networks over which we have no control; we do not guarantee delivery times or rates.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALERTEAGLE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall AlertEagle's total liability to you for all claims exceed the greater of (a) the amount you paid to AlertEagle in the twelve (12) months preceding the claim, or (b) one hundred US dollars (USD $100).

Indemnification

You agree to indemnify, defend, and hold harmless AlertEagle, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your infringement of any third-party right, including intellectual-property or privacy rights.

Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

Your right to use the Service will immediately cease.
We may delete your account data in accordance with our data-retention policy.
All provisions of these Terms which by their nature should survive termination — including ownership, warranty disclaimers, indemnity, and limitations of liability — shall survive.

You may terminate your account at any time by cancelling your subscription and contacting us at support@alerteagle.io.

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.

Informal resolution

Before filing a claim, you agree to contact us at legal@alerteagle.io and attempt to resolve the dispute informally for at least 30 days.

Arbitration

Any unresolved dispute shall be submitted to binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules.

Class-action waiver

You waive the right to participate in a class action or class-wide arbitration against AlertEagle.

Jurisdiction

To the extent arbitration does not apply, you consent to the exclusive jurisdiction of the courts located in Wilmington, Delaware.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and, where required, by sending you an email at least 14 days before they take effect. The “Last updated” date at the top of this page reflects when the Terms were last revised. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
